1.   Access to the New York Official Opinions
This Agreement is entered into to allow you as ("User") to access and use the New York Official Opinions.

2.   License
     a.   Grant.    User is granted, at no charge, a non-exclusive, non-transferable, limited license to access and use the New York Official Opinions solely in the regular course of legal and other personal research and related work. The license includes the right to quote from the New York Official Opinions (appropriately cited and credited) in memoranda, briefs and similar work product created by User in the regular course of its research and work. User may also create printouts of the New York Official Opinions for personal use and for distribution to third parties..
     b.   Limitations.    User may not copy, download, store, publish, transmit, transfer, sell or otherwise use the New York Official Opinions or any portion of the New York Official Opinions, in any form or by any means, except (i) as expressly permitted by this Agreement, or (ii) if not expressly prohibited by this Agreement, as allowed under the fair use provision of the Copyright Act (17 U.S.C.A. § 107). The New York Official Opinions may not be downloaded and stored or used in an archival database or other searchable database. User may not sell, license or distribute the New York Official Opinions (including printouts) to third parties or use the New York Official Opinions as a component of or as a basis for any material offered for sale, license or distribution.
     c.   Rights in Data.    Except for the license granted in this Agreement, no right, title and interest in the New York Official Opinions, in any language, format or media throughout the world, including copyrights, are or will vest in User.

3.   Disclaimers
THE NEW YORK OFFICIAL OPINIONS ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF, PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OMISSIONS, COMPLETENESS, CURRENTNESS AND DELAYS. USER ACKNOWLEDGES THAT USE OF THE NEW YORK OFFICIAL OPINIONS IS AT USER'S SOLE RISK. WEST IS NOT LIABLE FOR ANY CLAIMS RELATING IN ANY WAY TO USER'S INABILITY OR FAILURE TO PERFORM LEGAL OR OTHER RESEARCH OR RELATED WORK OR TO PERFORM SUCH LEGAL OR OTHER RESEARCH OR WORK PROPERLY OR COMPLETELY, OR ANY DECISION MADE OR ACTION TAKEN BY USER IN RELIANCE ON THE NEW YORK OFFICIAL OPINIONS . IN NO EVENT WILL WEST BE LIABLE UNDER THIS AGREEMENT FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES, EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES. WEST DOES NOT WARRANT THAT ACCESS TO THE NEW YORK OFFICIAL OPINIONS WILL BE UNINTERRUPTED.

4.   Term and Termination
This Agreement will become effective when User clicks on the "I AGREE" button and will continue in force as long as User has access to the New York Official Opinions. West may terminate this license at any time for any reason.

5.   General Provisions
The laws of the State of Minnesota will govern this Agreement. The parties agree that the state and federal courts sitting in Minnesota will have exclusive jurisdiction over any claim arising out of this Agreement and each party consents to the exclusive jurisdiction of such courts. This Agreement represents the entire understanding between the parties with respect to the subject matter of this Agreement.
